MGM locks in voting cap for IAC stake held by Diller

MGM Resorts International has formalised a governance arrangement with IAC Inc. and its chairman Barry Diller that caps IAC’s effective voting influence at 25.73 percent of total shareholder votes, while guaranteeing the media and technology investor two seats on the casino operator’s board.

The terms were set out in a Voting Agreement, which MGM disclosed through a Form 8-K filing. Under the agreement, IAC, Diller and affiliated entities may vote freely up to that threshold. Any shares they hold beyond it must be cast in proportion to how the rest of the shareholder base votes, effectively neutralising the weight of that excess stake on contested decisions.

Diller has already been deemed a designated director under the agreement. MGM is required to nominate a second IAC-designated director, and both appointments remain subject to regulatory approval, a standard condition for board appointments at licensed gaming operators in the United States.

Board continuity built into the terms

The agreement does not leave governance continuity to chance. Should either of the two IAC-designated seats become vacant, MGM is required to appoint a replacement within one month. Both directors must meet MGM’s internal corporate governance standards alongside any applicable regulatory suitability requirements.

That regulatory condition carries practical weight. Gaming jurisdictions across Nevada, New Jersey and elsewhere typically subject significant shareholders and board nominees to suitability review, covering financial background, business associations and personal conduct. The filing’s explicit reference to “required regulatory approvals” reflects that operational reality rather than standard legal boilerplate.

IAC’s position among MGM’s investors

IAC holds approximately 66.8 million MGM shares, representing roughly 25.7 percent of voting power according to Schedule 13D filings. That makes IAC one of MGM’s largest individual shareholders, a position it has built over several years.

The proportional voting mechanism agreed here is a recognised structure in public company governance. This ensures that the economic interest of holding stock above a certain level is maintained while at the same time ensuring that the voting rights are in line with the sentiments of other shareholders. An example of this was adopted by Bally’s Corporation in 2021 when some shareholders pledged to support the issuance of shares.

When the agreement falls away

The agreement includes clear termination conditions. It ends automatically if IAC’s ownership falls below 17.5 percent of MGM’s voting power, if MGM fails to maintain two IAC-designated directors on its board, or if MGM undergoes a change of control.

There is also a carve-out specific to Diller. If he ceases to hold the role of chairman or senior executive at IAC and simultaneously loses more than two-thirds of his voting power within the company, his entities are released from the voting restrictions. The arrangement is, in that respect, partly personal as well as structural.

Governance in a regulated sector

For a company operating casinos and resorts across multiple licensed jurisdictions, formalising the governance terms attached to a major shareholding is routine practice rather than a signal of tension. Regulators expect transparency around ownership concentration and board composition, and public filings of this kind satisfy those disclosure obligations.

MGM’s portfolio spans Las Vegas properties including Bellagio and MGM Grand, regional US venues and the BetMGM online sportsbook operated in partnership with Entain. Any significant shift in board composition or voting dynamics at the parent company level sits within the supervisory interest of multiple state gaming authorities.

The agreement as filed sets the current terms. No further board changes have been announced.
